In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid to us in the twelve months preceding the claim, or one hundred thousand Japanese Yen (¥100,000), whichever is less.
11. Health and Wellness Limitations
Our mindfulness and meditation programs are designed for general wellness and personal development. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Results may vary among individuals, and we make no guarantees about specific outcomes. Participants with medical or psychological concerns should consult qualified healthcare professionals before enrolling.
12. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, telecommunications failures, or other force majeure events.
Legal Information and Dispute Resolution
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. Any legal action or proceeding related to these terms shall be brought exclusively in the courts of Kanagawa Prefecture, Japan, and you consent to the jurisdiction of such courts.
14. Dispute Resolution Procedures
In the event of any dispute, claim, or controversy arising from or relating to these terms or your use of our services, we encourage you to contact us first to attempt to resolve the matter informally. If an informal resolution cannot be reached within 30 days, the following procedures shall apply:
- • The parties agree to attempt mediation before pursuing litigation
- • Mediation shall be conducted in Kamakura, Japan, in the English or Japanese language
- • If mediation is unsuccessful, disputes shall be resolved through the courts as specified above
15. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and ZenPath Institute regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
17. Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of ZenPath Institute.
18. Assignment
You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent. We may assign these terms without restriction. Any attempted assignment in violation of this provision shall be null and void.
